Product & Commercial Protection

IP & NNN Protection

Protecting a product is about more than signing one document.

When a sourcing project involves custom designs, tooling, technical files or sensitive commercial information, protection starts with deciding what actually needs to be shared, who needs to see it and what should be agreed in writing.

Intellectual Property

What Does “IP” Mean?

IP means intellectual property. In a sourcing project, that may include product designs, drawings, CAD files, packaging artwork, trademarks, inventions, software, technical information or other commercially valuable material.

Different types of IP may require different forms of protection. A contract can help, but it does not replace trademarks, patents or other formal registrations where those are needed.

NDA

What Is an NDA?

NDA stands for Non-Disclosure Agreement.

Its main purpose is confidentiality: information shared with another party should not be disclosed, distributed or shared without permission.

In a sourcing project, an NDA may be useful between the buyer and TreySourcing, or between other parties that need to exchange sensitive information.

NNN Agreement

What Is an NNN Agreement?

NNN stands for Non-Use, Non-Disclosure and Non-Circumvention.

It goes beyond confidentiality alone. In practical terms, it is intended to address not only unauthorized disclosure, but also unauthorized use of the buyer's information and attempts to bypass the buyer's commercial relationship.

NDA focuses on keeping information confidential.    NNN also addresses unauthorized use and circumvention.

The Three Parts

What an NNN Is Designed to Address

The idea is straightforward: information shared for one sourcing project should not quietly become something the supplier can use however it wants.

01 Non-Use

Don't Use It for Yourself

A supplier should not take the buyer's design, technical files or commercial information and use them for its own products, sales or unrelated customers.

02 Non-Disclosure

Don't Share It Without Permission

Sensitive drawings, product information, pricing, customer information or other protected material should not be passed to unrelated parties without authorization.

03 Non-Circumvention

Don't Bypass the Buyer

Where a supplier becomes aware of the buyer's customers, channels or commercial relationships, it should not use that information to bypass the buyer and pursue the same business directly.

When It Makes Sense

Not Every Sourcing Project Needs an NNN

The right question is not “Can we sign another document?” It is “What is actually valuable or sensitive in this project, and what risk are we trying to reduce?”

An NNN May Be Worth Considering

Especially where a supplier will receive information or assets that are not already public.

  • New or unreleased product designs
  • Private molds or custom tooling
  • CAD, engineering or technical files
  • Custom-developed components or product structures
  • Sensitive packaging or branding information
  • Important customer, channel or commercial information

It May Add Less Value

Some sourcing projects simply do not contain much confidential information to protect.

  • Standard off-the-shelf products already sold openly in the market
  • Generic products available from many unrelated suppliers
  • Projects where no sensitive technical or commercial information needs to be disclosed
  • Early-stage inquiries where only basic, non-confidential information is being discussed
Before the Contract

Protection Starts Before Anything Is Signed

A signed agreement can be useful, but good sourcing practice starts earlier: with controlling what is shared, when it is shared and who receives it.

01

Share Only What Is Needed

A factory does not always need the complete design package, full customer information or every commercial detail just to provide an initial quotation.

02

Disclose Information in Stages

More sensitive files can be shared as a supplier moves from initial screening to sampling, development or confirmed production.

03

Clarify Ownership

Drawings, molds, tooling, packaging files and other custom assets should not be left ambiguous when ownership or permitted use matters.

04

Put Important Commitments in Writing

Where a project carries real IP or commercial risk, written agreements can make responsibilities and restrictions much clearer.

We don't treat every sourcing project as if it needs a stack of legal documents. We first look at what actually needs to be protected.
Practical Documents

Protection Should Be Written Down When It Matters

Depending on the project, different documents may be more useful than trying to make one agreement cover everything.

Client ↔ TreySourcing

Client NDA / Confidentiality Agreement

For information you share with us

Used when a buyer needs to share sensitive product, technical or commercial information with TreySourcing during sourcing, development or project management.

Sent by email after you submit the request form.

Buyer ↔ Supplier

Supplier NNN Agreement

For sensitive information shared with factories

Designed to address unauthorized use, disclosure and circumvention where confidential information is shared with a supplier for quotation, development or production.

Sent by email after you submit the request form.

Tooling & Custom Development

Tooling & IP Ownership Addendum

For molds, drawings and custom project assets

Used where ownership, storage, permitted use, transfer or return of molds, tooling, drawings or custom development files needs to be made explicit.

Sent by email after you submit the request form.

A document is useful only when it matches the project and the parties signing it.

Sample documents are sent for reference. Project-specific signable versions are prepared separately, and legal drafting or enforceability questions may require review by a qualified lawyer.

Our Role

What We Can Help With — And Where We Stop

We can make IP protection part of the sourcing process. We do not pretend to replace lawyers, patent professionals or formal IP registration systems.

We Can Help With

Practical project controls on the sourcing side.

  • Limiting unnecessary disclosure of sensitive project information
  • Coordinating confidentiality, NDA or NNN documents with relevant parties
  • Keeping ownership of molds, drawings or custom assets visible during the project
  • Raising concerns when supplier behavior or requests create avoidable risk
  • Keeping signed project documents and supplier commitments organized
  • Coordinating with a qualified third party when specialist help is needed

Specialist Advice May Be Needed For

Matters that require formal legal or professional judgment.

  • Trademark legal opinions, disputes or complex filing strategy
  • Patent strategy, filing or patent validity
  • Legal opinions on contract enforceability
  • Litigation, arbitration or formal dispute proceedings
  • Complex licensing or ownership structures
  • Customized legal drafting where enforceability is especially important
One Important Distinction

NNN Does Not Replace Formal IP Rights

An NNN agreement is a contractual tool. It does not create a trademark, patent or other registered right simply because both parties sign it.

If a brand, invention or other asset needs formal legal protection, the appropriate registration or professional advice may still be necessary.

The strongest approach is usually to combine the right legal protection with sensible control of information, suppliers and project assets.

China Trademark Support

Need to Protect Your Brand in China?

Supplier agreements protect how project information and commercial relationships are used. A trademark registration protects the brand itself.

For overseas buyers building a brand around products sourced in China, registering the trademark in China may also be worth considering — especially before the issue becomes urgent.

TreySourcing can help coordinate China trademark registration through qualified trademark agency partners.

Initial Information & Brand Details

We help collect the basic applicant, brand, logo, product and intended-use information needed to start the process.

02

Search & Application Coordination

Where appropriate, we can coordinate preliminary trademark checks, application preparation and communication with a qualified China trademark agency partner.

03

Filing & Follow-Up

The qualified trademark agency partner handles the formal filing, while TreySourcing helps coordinate communication and practical follow-up during the process.

Important: TreySourcing is not a law firm or trademark agency. Formal trademark filings, legal opinions and specialist IP work are handled through the relevant qualified professional or agency partner.
